Advisory and consulting services
Advisory and consulting services
Our service selection includes traditional corporate finance and transaction services as well as more comprehensive strategic consulting services. We help our clients with small and large projects during ownership or funding arrangements, before them or during the follow-up review.
Mergers and acquisitions
We work as the client’s strategic partner in different phases of a business arrangement. Our advisory services can cover the buyer’s or seller’s entire project management or be related to the implementation of a certain section of the business arrangement or the evaluation of its impacts.
We assist strategic corporate buyers in recognizing and evaluating acquisition targets and ensure that the target is interested in the potential arrangement. We will also often compile a valuation for the target company and assist in compiling the indicative acquisition offer and the letter of intent. We also help with trade agreement negotiations and the practical aspects of carrying the trade through.
Corporate sales advisory services usually include planning the implementation methods of the sales process, recognizing the corporate buyers and reviewing their level of interest. We help our customers compile the necessary trade documents and carry out the trade process. We support our client in trade negotiations, coordination of due diligence inspections and in practical aspects of carrying the trade through.
Companies’ structural arrangements
Advisory services for structural arrangements cover the planning of mergers, divisions and business transfers as well as their execution. We help our clients evaluate the effects of structural arrangements from the perspective of business and taxation as well as from other essential viewpoints.
Ownership rearrangements and generational changes
We advise the client in various ownership rearrangement situations. Such situations may include, for example, generational changes, management buyouts or other ownership rearrangements. In the most usual cases, we help the client or shareholders evaluate different options, such as whether to carry out a generational change or sell the company. Based on the possible evaluation, we will then help the client implement the chosen arrangement.
We act as the client’s advisor in acquiring equity and debt funding. In the most usual cases, we help a growing company find the capital required for its growth. Other situations may include, for example, funding investments or business acquisitions as well as rearrangement of the company’s ownership structure.
Our services include financial consulting in e.g. company valuation and financial and business due diligence reviews. Our methods include defining a suitable scope for the review work and active communication of the observations of the review work already during the work process.
We conduct company valuations for various purposes. Often the target is a group or an individual company, but we also valuate immaterial rights. The need for valuation may stem from a business acquisition, acquisition for in-kind contributions, ownership arrangements, personnel arrangements or litigation. The valuation methods we utilize are based on methods and information services commonly in use in the field.
